Terms of Service

1. Acceptance of Terms

By accessing or using veriova ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to update these terms at any time, and will notify users of material changes via email or in-app notice.

2. Description of Service

veriova is a persistent memory platform for AI applications. The Service provides APIs and tools for storing, retrieving, and managing contextual memory items, including semantic search, context pack generation, and integration with AI development workflows via SDKs and MCP servers.

3. User Accounts

You must provide a valid email address to create an account. You are responsible for maintaining the security of your API keys and account credentials. You must immediately notify us of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

• -Violate any applicable laws or regulations
• -Store or transmit malicious code or malware
• -Attempt to gain unauthorized access to the Service or its infrastructure
• -Interfere with or disrupt the Service or its connected networks
• -Exceed rate limits or API quotas through automated means

5. Data Ownership

You retain ownership of all data you submit to the Service. By using veriova, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service. We do not sell your data to third parties or use it to train machine learning models.

6. Service Availability

We strive for high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime in advance.

7. Limitation of Liability

To the maximum extent permitted by law, veriova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

8. Paid Plans & Billing

veriova offers free and paid subscription plans. Paid plans (Pro and Team) are billed monthly or annually through our payment provider, Paddle. By subscribing to a paid plan, you agree to the following:

• -Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• -You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period — you retain access until then.
• -Prices are listed in USD and may be adjusted with 30 days' notice.
• -All payments are processed securely by Paddle, who acts as the Merchant of Record. Paddle handles tax collection and compliance on our behalf.

9. Refund Policy

We want you to be satisfied with veriova. Our refund policy is as follows:

• -14-day money-back guarantee. If you are not satisfied with a paid plan, you may request a full refund within 14 days of your initial purchase or renewal. No questions asked.
• -After 14 days. Refunds are not available after the 14-day window. You may cancel at any time and continue using the service until the end of your billing period.
• -Annual plans. Annual subscriptions are eligible for a prorated refund within the first 14 days. After 14 days, cancellation takes effect at the end of the annual term.
• -Downgrades. If you downgrade from a paid plan to the free tier, the change takes effect at the end of your current billing period. No partial refunds are issued for downgrades.
• -Service outages. In the event of extended unplanned downtime (more than 24 consecutive hours), we will issue prorated credits to affected paid accounts upon request.

To request a refund, email hello@veriova.com with your account email and the reason for your request. Refunds are typically processed within 5–10 business days.

10. Termination

Either party may terminate this agreement at any time. Upon termination, you may request an export of your data within 30 days. After 30 days, we reserve the right to delete your data from our systems. If we terminate your account for reasons other than a violation of these Terms, you will receive a prorated refund for any unused portion of your paid subscription.
